What are standard terms in Chinese Contract Law? Are standard terms always effective?
Standard terms are clauses which are prepared by one party in advance for repeated use and which are not negotiated with the other party when concluding the contract. According to Chinese Contract Law, the party who provides the Standard terms has the statutory obligations of reminding the other party to note the wording of the standard terms and explaining such terms. It does not mean that the party who provides the standard terms will negotiate with the other party over such terms, but merely to let him know the their meaning, and explain the standard terms at the request of the other party.
